Terms of Service

These terms govern your use of Shallow, the macOS desktop application and related services. By downloading or using Shallow, you agree to these terms.
1. What Shallow provides
Shallow is a task management application for macOS. It includes:
- Local task management — create, organize, and plan tasks stored on your device
- AI assistant — natural language task creation, planning, and briefings powered by Anthropic's Claude
- Integrations — optional connections to Google Calendar, Asana, Slack, and other services
- Cloud sync — optional cross-device synchronization with end-to-end encryption
2. Eligibility
You must be at least 13 years old to use Shallow (or 16 if you are located in the EU/EEA). By using Shallow, you represent that you meet the applicable age requirement.
3. Accounts and tiers
Free tier (BYOK)
You can use Shallow without creating an account by providing your own Anthropic API key ("Bring Your Own Key" mode). In this mode:
- All data stays on your device
- AI requests go directly to Anthropic — you pay them, not us
- You're responsible for your API key and usage costs
- No cloud sync, limited to one active integration
Pro tier ($10/month or $96/year)
A paid subscription that includes managed AI (no API key needed), cloud sync with encryption, all integrations, auto-plan, screenshots, briefings, and external capture. Payment is processed through Stripe.
Trials
New accounts may receive a 14-day Pro trial. No credit card is required. At the end of the trial, your account reverts to the free tier. All local data is preserved.
4. Your data
You own your data. Shallow does not claim any rights to your tasks, notes, plans, or any content you create.
- Local data is stored on your device and is not accessible to us
- Cloud-synced data is encrypted before leaving your device (when E2E encryption is enabled). We cannot read encrypted content
- You can export your data at any time from Settings
- You can delete your account and all associated cloud data at any time
5. AI features and disclaimer
Shallow uses Anthropic's Claude for AI-powered features including task parsing, auto-planning, daily briefings, and natural language chat. When using AI features:
- Your prompts and task context are sent to Anthropic's API to generate responses
- In BYOK mode, requests go directly to Anthropic under your own API agreement with them
- In Pro mode, requests are routed through Shallow's proxy. We do not log conversation content
AI is assistive, not authoritative. Shallow uses AI to parse, organize, and prioritize your tasks — results are suggestions, not guarantees. The AI may produce inaccurate, incomplete, or inappropriate responses. You are responsible for reviewing all AI-generated suggestions before acting on them. AI output does not constitute professional, legal, financial, medical, or any other form of expert advice. You remain solely responsible for your own task management decisions.
6. Subscriptions, billing, and plan changes
Billing
- Pro subscriptions are billed monthly or annually through Stripe
- Prices may change with 30 days' notice. Existing subscriptions are honored at the current rate until renewal
Cancellation
- You can cancel at any time. Access continues until the end of your current billing period
- No prorated refunds are issued for partial billing periods
Failed payments
- If payment fails, there is a 7-day grace period before your account is downgraded to the free tier
Downgrading from Pro to Free
If your Pro subscription ends (whether by cancellation, failed payment, or trial expiration):
- Local data is unaffected. All tasks on your device remain intact and fully accessible
- Cloud sync is disabled. Your data remains stored in Supabase for 90 days in case you resubscribe. After 90 days, cloud data is deleted
- Integrations are reduced to one active connection. You choose which one to keep; others are disconnected but not deleted — credentials remain in Keychain and can be reactivated if you upgrade
- AI access reverts to BYOK mode (5 messages/day via Haiku with your own API key)
- Pro-only features (auto-plan, screenshots, external capture, E2E encryption, full briefings) are disabled. Any data created with these features remains on your device but cannot be actively used until you resubscribe
Refunds
Refunds are handled on a case-by-case basis. Contact support@tryshallow.com.
7. Acceptable use
You agree not to:
- Reverse engineer, decompile, or disassemble the application
- Use the proxy or managed AI service for purposes other than Shallow's intended features
- Attempt to circumvent rate limits or subscription restrictions
- Share your account credentials or API proxy access with others
- Use the service to store or transmit malicious content
8. Third-party services
Shallow integrates with third-party services (Google Calendar, Asana, Slack, Stripe, Anthropic, Supabase). Your use of these services is governed by their respective terms. Shallow is not responsible for the availability, accuracy, or security of third-party services.
9. Intellectual property
Shallow and its original content, features, and functionality are owned by Shallow and protected by applicable copyright and trademark laws. Your content remains yours.
10. Disclaimer of warranties
Shallow is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the service will be uninterrupted, error-free, or meet your specific requirements.
11. Limitation of liability
To the maximum extent permitted by law, Shallow and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the service.
12. Account termination
You can delete your account at any time from Settings. We may suspend or terminate accounts that violate these terms. In either case:
- Your local data remains on your device
- All cloud-synced data is purged from Supabase within 30 days
- All OAuth tokens for connected integrations are revoked
- Active Stripe subscriptions are cancelled
- Authentication credentials are removed from macOS Keychain

13. Changes to these terms
We may update these terms as the product evolves. Material changes will be communicated via the app or email at least 30 days before taking effect. Continued use after changes constitutes acceptance.
14. Governing law
These terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.
